The arbitration shall be conducted in Toronto, Ontario, in the English language, before a single arbitrator mutually agreed upon by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in court to prevent irreparable harm, protect intellectual property rights, or enforce confidentiality obligations without first engaging in arbitration.
