In no event shall the total aggregate liability of Insight Analytics for all claims arising from or related to your use of our website or informational resources exceed one hundred Canadian dollars (CAD $100). For clients with executed service agreements, liability limits specific to those engagements are governed by the terms of the applicable service agreement.

You agree to indemnify, defend, and hold harmless Insight Analytics, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from: (a) your use or misuse of our website or services; (b) your violation of these Terms of Service; (c) your violation of any rights of a third party, including intellectual property rights or privacy rights; (d) your violation of any applicable laws or regulations; or (e) any content or data you submit, post, or transmit through our services. This indemnification obligation will survive termination of these Terms of Service and your use of our website.

You irrevocably consent to the jurisdiction of such courts and waive any objection to venue in such courts on the grounds of inconvenient forum or otherwise.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Service or your use of our services, the parties agree to first attempt to resolve the matter through good faith informal negotiations. You agree to notify Insight Analytics in writing of any dispute and provide a detailed description of the issue and your proposed resolution.

If the dispute cannot be resolved through informal negotiation within thirty (30) days of written notice, either party may initiate binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Toronto, Ontario, in the English language, before a single arbitrator mutually agreed upon by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in court to prevent irreparable harm, protect intellectual property rights, or enforce confidentiality obligations without first engaging in arbitration.

12. Termination and Suspension

Insight Analytics reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to our website or services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms of Service or any applicable laws
  • Fraudulent, abusive, or illegal activity
  • Conduct that harms or threatens the security or integrity of our systems
  • Requests by law enforcement or government authorities
  • Discontinuation or material modification of our services

Upon termination, your right to access and use our website and services will immediately cease. All provisions of these Terms of Service that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
